Our fictious fact scenario will work through a situation concerning a new client wishing to setup a company with another director and 3 shareholders. We will consider:
- our client’s obligations under the Companies Act;
- whether our client ought to have a company constitution and the type of things to think about when preparing it; and
- whether our client ought to have shareholders agreement
- we will go through issues to think about with our client in preparation for part 2 this 2-part webinar when we think about drafting the Company constitution and the shareholders agreement.
