Our fact scenario will worth through instructions from a new client wishing to setup a company with another person, as well as investment from 3 shareholders. We will consider:

  • our client’s obligations under the Companies Act 1993;
  • whether our client ought to have a company constitution, and how it might look including some handy pointers to take on board when drafting a company constitution; and
  • whether our client should have shareholders agreement, and again - some handy pointers to take on board when drafting a shareholders agreement.
